Terms of Service

These Terms of Service govern access to and use of NeuralIndex services provided by NeuralIndex IP Holding Company Pty Ltd ("NeuralIndex", "we", "us" or "our"). By using our services, you agree to these terms.

Service description

NeuralIndex provides AI-powered property search infrastructure, widgets, APIs, integration support and related tools for web developers, agencies, real estate companies, brokerages and technology partners.

Subscriptions and access

Services are provided on a subscription or custom commercial basis. Your plan may include access to widgets, configuration tools, onboarding support, analytics, integrations and partner support as described in the applicable order, proposal or plan documentation.

Billing

Subscription fees are billed according to the billing cycle agreed with you. Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for providing accurate billing information and paying invoices when due. We may use Stripe or another payment provider to process payments.

Partner usage model

Where a web developer, agency or partner uses NeuralIndex for a client website, that partner is responsible for its client relationship, implementation choices, client-facing representations and compliance with these terms. Partners must ensure their clients use NeuralIndex lawfully and in accordance with applicable agreements.

Intellectual property

NeuralIndex and its technology, software, models, designs, documentation, trademarks and service materials remain owned by NeuralIndex or its licensors. Customers retain ownership of their websites, listing data, branding and content supplied to NeuralIndex.

Acceptable use

You must not misuse the service, interfere with its operation, attempt unauthorised access, reverse engineer protected components, upload unlawful content, violate third-party rights or use NeuralIndex to support misleading, discriminatory or illegal activity.

Service availability

We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free operation. Maintenance, third-party provider issues, listing data availability, network conditions and force majeure events may affect availability.

AI outputs and search results

NeuralIndex helps users discover and understand property listings, but AI-generated results, explanations and recommendations may not always be complete or error-free. Customers remain responsible for reviewing how the service is presented and used on their websites.

Confidentiality and security

Each party must take reasonable steps to protect confidential information received from the other. You are responsible for safeguarding access credentials and promptly notifying us of suspected unauthorised use.

Termination

Either party may terminate services according to the applicable subscription, order or written agreement. We may suspend or terminate access if fees are unpaid, use creates security or legal risk, or these terms are materially breached.

Limitation of liability

To the maximum extent permitted by law, NeuralIndex is not liable for indirect, incidental, special, consequential or loss-of-profit damages. Our aggregate liability for claims relating to the service is limited to the fees paid by you for the service in the three months before the event giving rise to the claim.

Governing law

These terms are governed by the laws of Australia. The parties submit to the jurisdiction of the courts of Australia for disputes arising from or relating to these terms.
